American Bitcoin has announced that it will debut publicly on Nasdaq in September 2025. The move comes after the completion of its merger with Gryphon Digital Mining, which is in its final stages, Hut 8 CEO Asher Genut told Reuters during the Bitcoin Asia conference in Hong Kong.

According to Genut, instead of a traditional IPO, the company chose to merge with an existing player with access to a variety of funding sources. This, he said, allows it to raise capital more efficiently and speeds up its entry into the public market.

American Bitcoin was founded in March 2025 by Bitcoin miner Hut 8 and the sons of US President Donald Trump. The company will retain its name and receive the ticker symbol ABTC after entering the Nasdaq. The controlling stake — 98% — will belong to Hut 8, Eric Trump, and Donald Trump Jr. The investors also included Gemini exchange co-founders Tyler and Cameron Winklevoss, who supported the launch of the new structure.

According to the company's statement, American Bitcoin intends to become one of the largest and most efficient "pure" bitcoin miners in the world. The strategy involves accumulating cryptocurrency both through mining and through purchase, focusing on the profitability of each method in a specific period. "We are not limited to just one strategy - we alternate mining and treasury purchases depending on what brings more profit," Genut explained.

Despite criticism of Donald Trump regarding a possible conflict of interest, the company emphasizes that its activities are not related to government structures. Eric Trump's main focus is on developing strategy, managing mining projects, and treasury policy.

In August, it became known that American Bitcoin was considering acquiring public companies in Japan and Hong Kong. The goal of these steps is to expand international business and create a global infrastructure for bitcoin accumulation.

This approach will allow American Bitcoin not only to strengthen its position in the market, but also to ensure long-term stability and growth of the company's capital.
